TERMS OF USE & COMMERCIAL LICENSE

Welcome to The Preppy PNG. These Terms of Use and Commercial License (“Terms”) govern your access to and use of The Preppy PNG website, memberships, digital products, services and content.

Throughout these Terms, “The Preppy PNG,” “we,” “us” and “our” refer to The Preppy PNG. “You” and “your” refer to the customer, member or website visitor.

By visiting our website, creating an account, purchasing a product, beginning a membership or downloading any files, you agree to these Terms. If you do not agree, please do not use our website, purchase our products or download our files.

These Terms should be read together with our Privacy Policy, Refund Policy and Cancellation Policy.

1. ABOUT OUR PRODUCTS

The Preppy PNG sells digital products and may offer memberships that provide access to eligible products. Our products may include:

• PNG designs and clipart

• Seamless patterns and digital papers

• Graphic elements and illustrations

• Mockups and templates

• Printables and invitations

• Fonts and lettering products

• Cross-stitch and embroidery-related files

• Courses, guides and educational resources

• Other downloadable digital content

Unless a product listing specifically states otherwise, all products are delivered digitally. No physical product will be shipped.

Product photographs, mockups and examples are for presentation purposes. Colours may appear differently depending on your screen, printer, ink, paper, fabric, production method or other materials.

2. ACCOUNTS AND CUSTOMER RESPONSIBILITIES

You may need to create an account to purchase products, access downloads or use membership benefits. You agree to provide accurate and current information and to keep your login information secure.

Accounts and memberships are for use by the registered customer or purchasing business only. You may not share your login information, membership access or download privileges with another person or business.

You are responsible for all activity conducted through your account. Please contact us promptly if you believe your account has been accessed without authorization.

You must be at least the age of majority in your province, state or country of residence—or have the permission of a parent or legal guardian—to make a purchase.

3. DIGITAL DELIVERY

Digital files are generally available after checkout through your customer account, order confirmation page, download email or another delivery method stated on the website.

You are responsible for:

• Confirming that your email address is entered correctly;

• Downloading and safely backing up your purchases;

• Confirming that the file type and software requirements meet your needs before purchasing; and

• Maintaining compatible software, devices and equipment.

We do not guarantee that files will remain available for download indefinitely. Products may be updated, replaced or removed. We strongly recommend downloading and backing up your files promptly.

4. OWNERSHIP AND COPYRIGHT

All digital products, artwork, graphics, patterns, photographs, mockups, templates, text, branding, website content and other materials offered by The Preppy PNG are owned by or properly licensed to The Preppy PNG and are protected by applicable copyright, trademark and intellectual-property laws.

Purchasing or downloading a product does not transfer copyright or ownership to you. You receive only the limited license described in these Terms or in any product-specific license included with the product.

All rights not expressly granted are reserved by The Preppy PNG.

5. STANDARD COMMERCIAL LICENSE

Unless a product listing or included license states otherwise, each properly purchased or membership-downloaded product includes a non-exclusive, non-transferable commercial license.

The license is granted to one individual or one business entity. Employees or contractors may work with the files solely on behalf of the licensed business, provided they do not retain, reuse, share or claim rights to the files for themselves or another client.

You may use licensed products to create physical or digital end products for personal use or commercial sale, subject to these Terms.

Permitted uses include:

• Printed apparel, accessories and textile products;

• Sublimation, direct-to-film, screen-printed or heat-pressed goods;

• Mugs, tumblers, stationery, stickers, signs and home décor;

• Invitations, greeting cards, party products and printed paper goods;

• Fabric and textile products;

• Embroidered or stitched physical products, when the applicable file is intended for that purpose;

• Print-on-demand products produced through a third-party manufacturing service;

• Branding or marketing materials for your own business;

• Flattened, non-editable digital end products that do not allow the original artwork to be extracted; and

• Finished products created for your own customers.

You may sell an unlimited number of permitted finished end products unless a product listing includes a different limit.

Requirements for end products

A commercial end product must involve a meaningful finished application of the licensed design. The original file must not be supplied to the customer as a separate or extractable asset.

For digital end products, the licensed artwork must be incorporated into a completed, flattened design that customers cannot easily extract, separate or reuse.

Examples may include a completed printable invitation, flattened greeting card or finished digital composition. Simply placing artwork on a blank canvas, changing its colour, adding a basic border or adding a name does not automatically create a sufficiently distinct digital end product.

6. PROHIBITED USES

You may not:

• Sell, share, distribute, sublicense, rent, lend, gift or give away the original digital files;

• Include the original files in a free download, giveaway, bundle, membership, shared drive, file library or resource collection;

• Upload the files to another marketplace, stock-graphic website, design-resource platform or digital-download store;

• Claim the artwork or files as your own original creation;

• Register the artwork itself—or a confusingly similar version—as a copyright or trademark;

• Use the files to create a directly competing clipart pack, PNG collection, seamless-pattern collection, template pack, mockup collection, font, embroidery-file collection or other digital-design resource;

• Convert a file into another digital format for the purpose of selling, sharing or distributing the converted file;

• Trace, redraw, vectorize, digitize or modify a product for resale as a standalone digital design;

• Extract individual elements from a design and resell or redistribute them;

• Share files with another person, business, client, contractor or production partner except as specifically allowed by these Terms;

• Use automated systems, scripts, bots or scraping tools to download products or website content;

• Use our products to train, fine-tune, test or develop an artificial-intelligence model, dataset or image-generation system;

• Upload editable or extractable files to a print-on-demand marketplace where other users can access, customize or download the underlying artwork;

• Use our products in unlawful, defamatory, hateful, discriminatory, pornographic or otherwise harmful material; or

• Use “The Preppy PNG” name, logo or branding in a way that suggests your product or business is sponsored by, affiliated with or endorsed by us.

You may not sell a digital file that is substantially the same as the purchased product, even if you have resized it, recoloured it, added text, changed the file format or made minor alterations.

7. PRINT-ON-DEMAND AND THIRD-PARTY PRODUCTION

You may upload licensed artwork to a print-on-demand company or production partner solely to manufacture finished products for your business.

You are responsible for ensuring that:

• The production partner protects the file and does not sell, share or reuse it;

• The artwork is not made available as an editable or downloadable resource;

• The platform’s terms do not claim ownership or resale rights over the artwork; and

• Your use complies with these Terms and the production partner’s policies.

You may not upload our files to a platform whose primary purpose is to allow other designers, sellers or customers to access, customize, download or reuse the original artwork.

8. CLIENT WORK

You may use licensed products to create a finished design for a client. The client may use the completed, flattened end product for its intended purpose.

You may not transfer the original source files or grant the client independent rights to reuse the underlying artwork. If the client requires access to the original artwork or wishes to use it independently, the client must purchase their own license.

9. SPECIAL PRODUCT TERMS

Some products may contain separate licensing instructions or limitations. Product-specific terms take precedence over these general Terms when there is a direct conflict.

Fonts, mockups, templates, embroidery files, cross-stitch patterns, courses and third-party materials may include special requirements.

If a product contains third-party fonts, photographs, software, links or other resources, those materials may be governed by the third party’s own license. You are responsible for reviewing and complying with those terms.

Free-font recommendations and external links are provided for convenience. We do not control third-party websites and cannot guarantee that a font, download or link will remain free, available or unchanged.

10. MEMBERSHIP BENEFITS

While your membership is active and in good standing, you may receive a 100% member discount on eligible digital products available through The Preppy PNG.

Unless otherwise stated:

• You must be signed in to your member account;

• Eligible products must be added to your cart;

• You must complete the free checkout process;

• Your membership discount must be successfully applied; and

• The product must appear in your completed order history before it is considered licensed to you.

Merely viewing a product while your membership is active does not grant you a license to it.

Not every product is necessarily included. Products marked as excluded, limited, separately licensed or otherwise ineligible are not covered by the membership discount.

11. MEMBERSHIP DOWNLOADS AND FAIR USE

“Unlimited downloads” means that active members may download as many eligible products as they reasonably wish for their own creative or business use, subject to these Terms.

It does not permit:

• Automated or scripted downloading;

• Systematically downloading the entire website for archival purposes;

• Downloading primarily to create a competing library;

• Sharing membership access;

• Downloading on behalf of other people or businesses;

• Redistributing downloaded files; or

• Abusive activity that disrupts the website or delivery system.

We may temporarily limit downloads, investigate unusual activity or suspend an account where we reasonably believe abuse, fraud, automated activity or a violation of these Terms has occurred.

12. MEMBERSHIP BILLING AND AUTOMATIC RENEWAL

Memberships are billed according to the price and billing period displayed at checkout. Depending on the plan selected, billing may occur monthly, quarterly, annually or at another clearly disclosed interval.

Unless otherwise stated, memberships renew automatically at the end of each billing period using the payment method on file until cancelled.

Before purchasing, you will be shown the membership price, billing frequency, renewal terms and available cancellation method. Applicable taxes will be disclosed and charged as required by law.

You authorize us and our payment processors to charge the applicable recurring membership fee and taxes to your selected payment method.

If a payment fails, we may retry the payment, pause membership benefits or cancel the membership.

13. MEMBERSHIP CANCELLATION

You may cancel your membership at any time without a cancellation fee or penalty through your customer account or by contacting us at hello@thepreppypng.com.

Cancellation prevents the next automatic renewal. Unless applicable law requires otherwise:

• Your membership and download access remain active until the end of the current paid billing period;

• You will not receive a prorated refund for unused time on a billing period of 60 days or less; and

• Your membership benefits end when the paid period expires.

For memberships with renewal terms longer than 60 days, we will provide any renewal notices, cancellation rights and refunds required by applicable law.

Cancelling a membership does not cancel or invalidate commercial licenses properly obtained through completed orders while the membership was active. You may continue using those licensed products and selling permitted finished end products after cancellation.

However, after your membership expires, you may not download new products or use a member discount unless you reactivate your membership or purchase the products separately.

Your statutory cancellation and refund rights are not limited by these Terms.

14. PRICING AND MEMBERSHIP CHANGES

Prices, membership benefits and available plans may change from time to time.

Any price change affecting an existing automatically renewing membership will be communicated as required by applicable law before it takes effect. A new price will not be charged without the notice or consent required by law.

Promotional, introductory or grandfathered pricing may be subject to conditions disclosed when offered. If a grandfathered membership is cancelled, paused, allowed to expire or otherwise terminated, the former price may no longer be available upon rejoining.

All prices are displayed in the currency identified on the website. Taxes and any unavoidable fees will be disclosed before purchase.

15. REFUNDS FOR DIGITAL PRODUCTS

Because digital products are delivered electronically and cannot be physically returned, purchases are generally final and non-refundable once a file has been accessed or downloaded, except where:

• The file is defective and we cannot provide a working replacement;

• You receive the incorrect file and we cannot provide the correct file;

• A duplicate charge was made in error; or

• A refund or cancellation is required by applicable law.

Please read the product description and compatibility information before purchasing. Dissatisfaction caused by personal preference, failure to read the listing, lack of compatible software or insufficient knowledge of the required software generally does not qualify for a refund.

Nothing in this section limits any non-waivable rights or remedies available under consumer-protection law.

16. PRODUCT QUALITY AND TECHNICAL COMPATIBILITY

We make reasonable efforts to describe products accurately and provide functional files. However, we cannot guarantee that every file will be compatible with every program, printer, cutting machine, embroidery machine, production method, operating system or third-party service.

You are responsible for reviewing the file type, dimensions, resolution, colour profile and software requirements before purchasing.

We do not guarantee identical printed or manufactured results because output can vary based on equipment, materials, settings, suppliers and production methods. Test production is recommended before manufacturing large quantities.

17. COURSES AND EDUCATIONAL MATERIALS

Courses, guides, prompts, business ideas, marketing materials and other educational resources are provided for general informational purposes only.

We do not guarantee sales, profits, traffic, business growth or any particular outcome. You are responsible for your own business decisions, research, legal compliance, taxes, advertising, product safety and marketplace policies.

Educational materials may not be copied, recorded, shared, resold, republished, taught, distributed or used to create a substantially similar course or resource.

18. USER CONTENT AND REVIEWS

If you submit a review, testimonial, photograph or other content to us, you confirm that you own or have permission to share it.

You grant us a non-exclusive, worldwide, royalty-free license to display, reproduce and share that submitted content for operating and promoting The Preppy PNG. This does not transfer your ownership of the content to us.

We may remove content that is unlawful, misleading, abusive, infringing or unrelated. Nothing in these Terms prevents you from posting an honest review or exercising any legal right.

19. INTELLECTUAL-PROPERTY CONCERNS

We respect intellectual-property rights.

If you believe content on our website infringes your copyright or other rights, please contact hello@thepreppypng.com and provide:

• Your name and contact information;

• Identification of the protected work;

• Identification or link to the allegedly infringing material;

• A statement explaining your concern; and

• Confirmation that the information supplied is accurate.

We will review good-faith notices and take appropriate action where warranted.

20. SUSPENSION OR TERMINATION

We may suspend or terminate an account, membership or license if we reasonably believe that you have:

• Shared, resold or redistributed files;

• Used automated downloading tools;

• Engaged in fraud or payment abuse;

• Violated intellectual-property rights;

• Breached these Terms; or

• Used our products or website unlawfully.

Where appropriate, we may provide notice and an opportunity to correct the issue. Serious or intentional violations may result in immediate termination.

Termination for a material license violation may revoke your permission to use the affected products. You must then stop using the files and remove infringing digital listings or other prohibited materials.

Any rights and remedies available to us are cumulative.

21. WEBSITE AVAILABILITY

We may update, modify, suspend or discontinue any part of the website or product catalogue. We do not guarantee uninterrupted access, permanent availability of any particular product or compatibility with every device or browser.

We are not responsible for delays or interruptions caused by maintenance, hosting providers, payment processors, delivery applications, internet outages or circumstances beyond our reasonable control.

22. THIRD-PARTY SERVICES

Our store may use or link to third-party services, including Shopify, payment processors, membership applications, digital-delivery providers and print-on-demand companies.

Your use of a third-party service may be governed by that provider’s own terms and privacy policies. We are not responsible for third-party websites, services, content, interruptions or changes outside our reasonable control.

23. DISCLAIMER OF WARRANTIES

To the fullest extent permitted by law, the website, products, memberships and services are provided “as is” and “as available.”

We do not make warranties regarding uninterrupted availability, universal software compatibility, manufacturing results, colour accuracy, fitness for a particular purpose or business results.

This disclaimer does not exclude any warranty, condition or consumer right that cannot legally be excluded.

24. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, The Preppy PNG will not be liable for indirect, incidental, special, punitive or consequential damages, including lost profits, lost revenue, lost data, production costs or business interruption arising from your use of—or inability to use—our website, products or services.

Where liability cannot be excluded, our total liability relating to a particular purchase will not exceed the amount you paid for the product or membership giving rise to the claim.

These limitations do not apply where prohibited by law and do not exclude liability that cannot legally be limited.

25. INDEMNIFICATION

To the extent permitted by law, you agree to indemnify and hold The Preppy PNG harmless from third-party claims, damages or reasonable expenses arising from your unlawful use of our products, your violation of these Terms or your infringement of another party’s rights.

This obligation does not apply to the extent a claim results from our own unlawful conduct or negligence.

26. PRIVACY

Your submission of personal information through the website is governed by our Privacy Policy.

Payment information is processed by Shopify and applicable third-party payment providers. We do not directly store your complete payment-card information.

27. GOVERNING LAW

These Terms are governed by the laws of the Province of British Columbia and the applicable federal laws of Canada, without limiting any mandatory consumer rights available to you under the laws of your place of residence.

Any legal proceeding may be brought before a court with lawful jurisdiction. Nothing in these Terms requires you to waive a right that cannot legally be waived.

28. CHANGES TO THESE TERMS

We may update these Terms to reflect changes to our products, memberships, business practices or legal obligations.

The current version will be posted on this page with the updated effective date. Material changes affecting an existing membership, purchase or license will be communicated as required by law and will not be applied retroactively where doing so would unlawfully reduce rights already granted.

Your continued use of the website after an update constitutes acceptance of the revised Terms, except where additional notice or consent is legally required.

29. SEVERABILITY

If any provision of these Terms is found to be unlawful or unenforceable, that provision will be limited or removed only to the extent necessary. The remaining provisions will continue in effect.

Our failure to enforce a provision is not a waiver of our right to enforce it later.

30. ENTIRE AGREEMENT

These Terms, together with any product-specific license and our Privacy, Refund and Cancellation Policies, form the agreement between you and The Preppy PNG concerning your use of our website, products and memberships.

If a product-specific license directly conflicts with these general Terms, the product-specific license controls for that product.
